Public Offer (Agreement) and Warranty Terms

This document is an official proposal (public offer) from the website of the company www.pawell.com.ua (hereinafter referred to as the "Seller" or "PAWELL") to conclude a remote contract for the sale and purchase of goods.

In accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine, the terms of this Agreement are identical for all Buyers. By placing an order and paying for the Goods, the Buyer accepts the terms of this Agreement in full.

 

1. TERMS AND DEFINITIONS

 

1.1. Goods — rechargeable batteries (battery packs) for UAVs, FPV drones, UGVs (unmanned ground vehicles), electronic components, accessories, and other products presented on the Website or manufactured according to the Buyer's individual technical specifications.
1.2. Buyer — a natural or legal person (including charitable foundations, military units, and UAV manufacturers) who has entered into this Agreement with the Seller on the terms set out below.
1.3. Order — a properly executed request by the Buyer for the purchase and delivery of the Goods.

 

2. SUBJECT OF THE AGREEMENT

 

2.1. The Seller undertakes to transfer the Goods to the Buyer's ownership, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
2.2. In the case of ordering a custom (individual) battery assembly, the characteristics of the Goods (capacity, voltage, cell type, connectors) shall be agreed upon by the Seller and the Buyer separately in a technical assignment (Specification).

 

3. ORDERING PROCEDURE

 

3.1. The Buyer places an Order by filling out a form on the Website, via email, or through the Seller's official messengers (Signal, Telegram, WhatsApp).
3.2. Upon receiving the Order, the Seller's manager contacts the Buyer to clarify the details, technical parameters, availability of necessary components, and production terms.
3.3. The Order is considered accepted for execution after both parties have confirmed the technical specification and the Buyer has made a payment (or prepayment).

 

4. PRICE OF GOODS AND PAYMENT PROCEDURE

 

4.1. Prices for serial Goods are determined by the Seller. The cost of custom assemblies is calculated individually based on the Buyer's technical specifications.
4.2. For wholesale orders, charitable foundations, and military units, the Seller may apply special (flexible) pricing.
4.3. Payment is made in the national currency of Ukraine (Hryvnia) by:

  • Bank transfer to a current account (Sole Proprietorship / LLC) based on the issued invoice.

  • Transfer to a bank card using the Seller's details.

4.4. The Seller reserves the right to require a partial or full prepayment, particularly for manufacturing batches of Goods with individual characteristics.

 

5. DELIVERY OF GOODS

 

5.1. Delivery of the Goods within the territory of Ukraine is carried out by logistics companies (e.g., Nova Poshta) according to the carrier's tariffs, or via pickup from the production facility (Lviv).
5.2. Dispatch times for serial models and production times for custom batches are agreed upon with the Buyer individually during the Order placement.
5.3. The risk of accidental loss or damage to the Goods passes to the Buyer from the moment the Goods are handed over to the carrier company.

 

6. WARRANTY AND RETURNS (Special Terms)

 

6.1. Warranty Period: The Seller provides a 12-month warranty on PAWELL battery systems from the date of purchase.
6.2. Drone Insurance: In the event of the loss of or damage to a UAV exclusively due to a confirmed technical failure of our battery, the Seller will consider the possibility of compensating the cost of the drone.
6.3. Verification Procedure: The decision on warranty replacement, repair, or compensation is made by the Seller exclusively after analyzing DVR recordings, flight logs, and a physical inspection of the battery remains by the Seller's engineering department.
6.4. Return of Good Quality Products: In accordance with the Law of Ukraine "On Protection of Consumers' Rights," the Buyer has the right to return serial Goods of proper quality within 14 days, provided that:

  • The Goods have not been used, and their marketable condition, consumer properties, seals, and tags are preserved.

  • The Goods (batteries) have no signs of connector soldering, mechanical damage, traces of installation on a drone, or structural modifications.

6.5. Exceptions: Goods manufactured according to the Buyer's individual order (custom assemblies of non-standard sizes or characteristics) are not subject to return or exchange.

 

7. LIABILITY OF THE PARTIES

 

7.1. The Parties are liable for non-fulfillment or improper fulfillment of the terms of this Agreement in the manner prescribed by the legislation of Ukraine.
7.2. The Seller is not liable for damage caused to the Buyer due to improper use, storage, charging, or connection of the Goods (batteries) purchased from the Seller, as well as for the use of the Goods with equipment that does not match the battery's technical specifications.

 

8. FORCE MAJEURE

8.1. We all operate in challenging realities. Therefore, the Parties are released from liability for delays caused by force majeure circumstances (hostilities, prolonged blackouts, border blockades, or delays in the import of components).
8.2. At the same time, we ask for your understanding regarding our production: a force majeure event does not release the Buyer from the obligation to pay for Goods already received or for custom batteries whose assembly process has already begun according to your individual order.

 

9. OTHER CONDITIONS

 

9.1. This Agreement is concluded on the territory of Ukraine and operates in accordance with the current legislation of Ukraine.
9.2. The Seller reserves the right to unilaterally amend this Agreement by publishing an updated version on the Website.

 

10. SELLER'S REQUISITES AND CONTACTS

 

 

*Requisites (IBAN, EDRPOU) are provided to the Buyer after the order is agreed upon.
